Visitor or user must read and agree to the website terms and condition before use of Vhouzz.com. The following terms and condition govern your use of Vhouzz.com and its associated services. Your viewing and usage of this website establish an agreement to all “Terms and condition” listed below. This also includes the entity you may represent. FlashDrops Technologies LLC provides its platform through Vhouzz.com so Vhouzz, Vhouzz.com, FlashDrops, FlashDrops Technologies LLC are same entity and represents Vhouzz collectively. If you do not agree with terms and conditions, you may not use or access Vhouzz.com or the service by any means.

Change or Modification

Vhouzz may change or modify the term and condition at any time with or without notice. You will be automatically agreed to agreement with new terms and conditions once it is available as an existing user. FlashDrops Technologies LLC recommend you review Terms and Conditions every time you use Vhouzz.com and its services website.

Use of Vhouzz.com

Vhouzz.com is only for the use of current and potential customer to facilitate a match to interaction with each other. Any person uses vhouzz.com are consider as a user and shall create an account to use Vhouzz platform. Vhouzz is not a real estate agent and/or real estate broker service so it does not hold real estate broker license. Vhouzz platform connect homeowners that are willing to swap their houses for long term. Vhouzz does not offer houses for sale and does not market house for sale, and so does not need to hold real estate agent or broker service license. Vhouzz has no liability of any agreement between house swapper and house matchers. Vhouzz has no liability about the condition and ownership of house at any time during and after house swap/match. It is up to the user to decide to use Vhouzz.com. It is up to the homeowners to accept new house. It is up to the homeowners to agree to swap the house for long term. Users accept or reject a house match/swap is solely user’s decision. Each connection between user to other user shall constitute a separate agreement between users, however Vhouzz is not accountable and/or responsible for such agreement. If homeowner decided to finalize the long-term house swap, they shall prepare written agreement with all the terms and condition. They shall involve a real estate agent or lawyer to assist with written agreement. Vhouzz will not accountable and responsible for such agreement between house swappers during and after the completion of house swap and the agreement. Vhouzz may not represent you in any lawsuits from any party. It will not take responsibility of any lawsuit that occur between homeowners because of any dispute before, during and after house swap.

Vhouzz platform facilitates house match process by socializing communities and connects homeowner. Vhouzz is not held responsible of any stolen, misuse, damages and illegal activity including abuse, injuries, disputes that can relate to Vhouzz services. However, it will assist customer and law enforcement authorities to resolve the matter in any manner it choose.

Vhouzz provide the information as it receives information from homeowners. It has not ability to verify the information and so Vhouzz is not liable for misinformation provided by either of the homeowner. Homeowners are responsible to verify information provided to them by Vhouzz.

Vhouzz encourages you to register to access the features that include upload house profile, view houses, store houses, connect with homeowners and other features on Vhouzz. However, website visitors can browse the website. Vhouzz may add new feature to assist customers and in that case, user do not have to register again.

By registering and creating a house profile, you agree to provide accurate and current information about yourself or entity that you present as prompted. Promptly update your profile and house profile to keep it accurate and up to date as you are responsible and in control of your information.

You acknowledge and agree to provide your third-party account information in case of any change to continuous use of Payout feature. You agree that Vhouzz is not responsible and accountable for unauthorized or misuse of third-party account, however we will provide information to help resolve your matter.

Privacy: Vhouzz take user private information seriously. Vhouzz encrypt and protect user information where needed. However, the information that helps in house matching process will be shared with parties directly involved in the house matching process. Shared information does not include user ID, password, financial and payment account information. Confidentiality of user ID and password is also user responsibility. Do not share password with anyone and in that case, you are responsible for any activity and misuse. You are responsible for any activity that happens with your user account. You agree to inform immediately in case you notice any unauthorized or misuse of your account. Vhouzz uses google forms to complete and store house profile. Vhouzz will not accountable and responsible of information leaked from google. Each user needs a google account to use, complete and submit a form so user shall agree to google terms and conditions. Changes or updates

Vhouzz.com contents may be changed, deleted, or updated, moved, and/or altered without any notice.

Termination of service and usage

Vhouzz may terminate or suspend or block your use at any time with or without notice. Vhouzz can stop their platform or part of platform at any time without notice and restart at any time without notice. Vhouzz is not responsible and accountable for any direct or indirect damage due to the unavailability of platform.

Proprietorship

United States and International copyright, trademark and other laws protects Vhouzz.com and its contents. Customer or partners or visitors are not permitted to alter, duplicate, distribute, replicate, decompile, recompile, transfer, and reverse engineer similar idea, logic, part, or contents of Vhouzz.com.

Special notice for international use; Knowing the global nature of the Internet, you agree to comply with all local rules and laws regarding your use of the Service, including as it concerns online conduct and acceptable content.

Referral and rewards

We invite and encourage users to refer Vhouzz to others. It gives coupons and rewards time to time. Rewards can only redeem once referred user register and use Vhouzz platform for at least one delivery service. Your earning and redeeming of Referral Rewards (the “Referral Rewards Program”) is governed by these Terms. Coupon is only for one-time use. Please visit available rewards program for more details.

You may not spam or send unsolicited emails to persons you do not personally know to collect Referral Rewards and you may not collect Referral Rewards by posting on message boards or other online venues in violation of such venue’s terms of use. You agree that your fraudulent or misleading referral activity (for example, by inviting fake people to join, using false names, using multiple email accounts or email addresses to sign up for the Service, impersonating another person or otherwise providing false or misleading information to us) or otherwise trying to circumvent the Referral Rewards Program is a violation of these Terms of Service, which may result in the voiding of your Referral Rewards and termination of your account. In such case, you may also be liable for civil and/or criminal penalties under applicable law.

Referral Rewards cannot be resold and are otherwise non-transferrable. Vhouzz reserves the right in its sole discretion at any time to change or modify the terms applicable to the Referral Rewards Program. If we terminate the Referral Rewards Program, all Referral Rewards will be cancelled immediately after termination of the Referral Rewards Program is announced.

Eligibility

You must be 18 years old to use Vhouzz.com. If you are under 18 or minor, you must have parent’s or legal guardian’s permission to use Vhouzz.com. Please have him or her read and accept this agreement for you. You can read more information on standard labor Act FLSA at this link

Notice to parents and guardians: you must agree to the term and condition on behalf of your children to use Vhouzz platform. You are responsible for monitoring and supervising your children’s activities on Vhouzz.com. You can contact us immediately in case you want to disable your children’s account.

Payments

As a customer, you agree to pay service fee immediately after you accept to connect with homeowners/home swappers /home matchers.

Cancellation fee: once you accept to connect with other homeowner, after that you will not be able cancel the service. So, after that point fee will not be refunded.

Additional charges: Any additional service provided by homeowner that is not negotiated through Vhouzz should be separately paid. You will be responsible for payment of addition service whatever method you may use for the payment.

Damage Fee: If a homeowner reports that you have damage or harm the homeowner in anyway, you agree to pay a “Damage Fee” depending on the extent of the damage (as determined by Vhouzz in its sole discretion), towards recovery. Vhouzz reserves the right (but is not obligated) to verify the damages prior to processing the Damage Fee.

Payments to Vhouzz: Payments to Vhouzz will be processed through third party payment processer. You acknowledge and agree that such amount shall not include any interest, and net of any amount that we are required to withhold by law.

You as homeowner or representative of homeowner, shall be responsible for the safety and security of another homeowner during their visit. You as a visitor consent that any damage to homeowner shall be communicated to homeowner immediately and you shall be responsible to recover and settle dispute with customer. In any case you consent to not damage reputation of customer.

Code of conduct: You must behave in a civil and respectful while using Vhouzz.com. Further, you should not;

Harm or exploit or harass any other person.

Collect and/or spread information of others by any mean including but not limited to media, internet, social media, newspaper.

Steal or misuse or damages items that you are responsible for and delivering.

Property or personal damage to anyone.

Market or advertise others to purchase any product or service that Vhouzz is not involved. (Unless you have given official authorization by Vhouzz).

Behave in deceiving manner with other or make fun of any person.

Relationship:

You and Vhouzz relationship by this agreement are not employee-employer, partnership, joint venture, franchise-franchisor, or agency.

Communication:

Being a user of Vhouzz, you consent and accept that your contact information including email and phone number will be used by Vhouzz to communicate with you. Vhouzz will pass your contact information to involved parties that are willing to connect. By consenting to this agreement, you acknowledge that homeowners may contatc you by call or text to communicate with you which include but not limited to obtain and confirm your house information. Vhouzz may contact you via email or in some case via call or text at any step of the house match process, promotional communication, current and new features communications, and news about application development. Involved parties in the deal and Vhouzz may select to communicate via text message service. You acknowledge that your cell phone carrier may apply text messages and call charges and you will be responsible for any communication (either via call or text) charges. Vhouzz may contact you even after you select to not use Vhouzz platform to rebuild the relationship, you may opt-out from receiving those communications.

Your Information:

Information that you provided while creating your account, posted or publish to or through Vhouzz platform or send to other user via any mean does belong to you. You consent that the information you provided while creating account on Vhouzz will allow you to use Vhouzz and will use by Vhouzz and involved party or service provider for business, communication, and services.

You are solely responsible for your information, post, and your interaction with other members, and Vhouzz act only as passive channel for online posting of your information. You agree to provide accurate and current information about yourself or entity that you present as prompted. Periodically update your profile to keep it accurate and up to date as you are responsible and control of your information. We and other member will rely on your information as accurate, complete, and current.

You confirm that you are the sole author of your Information. To allow the Vhouzz Platform to use your Information, you grant Vhouzz a non-exclusive, international, perpetual, irreversible, royalty-free, sub-licensable right and license to exercise the copyright, advertising, and database rights of your Information, and to use, copy, perform, display and distribute such information to prepare derivative works, or incorporate into other works, such information, in any media now known or not currently known.

Vhouzz consider you as the sole authorized user of your account. You are responsible and accountable for maintaining confidentiality of password provided by you to Vhouzz to access the Vhouzz, all activities that happen under your User account, and Vhouzz explicitly disclaims any liability rising from the unauthorized use of your User account. Should you suspect any unauthorized use of your User account or you suspicious any breach of security, you agree to inform Vhouzz immediately.

Restrictions:

We respect your use of and participation in Vhouzz platform, you agree and comply with following restrictions.

· The use of unauthorized scripting or software to obtain unauthorized information or data from Vhouzz platform is strictly prohibited.

· You will not lease, lend, rent, sell, license, or sublicense any portion or whole Vhouzz platform.

· Submission of false information, misleading, deceptive, fraudulent contents, scams, offensive, obscene, defamatory, threatening or malicious posting or email, over or cross posting, drive traffic to a website postings, promotional or offering or marketing posting/emails to unrelated or unsolicited service or products, posting to damage any company reputation is strictly prohibited.

· Your activities will not violate any ordinance or regulation or law of land including local, State, Country, and International.

· The activities that are unauthorized by Government of USA, state or local authorities is strictly prohibited; this includes unauthorized guns, weapons, recreational drugs, alcohol, tobacco, hazardous material, human or animal body or parts/fluids, adultery, pornography, prostitution, pet sale, stolen products, burglary tools, ID cards, licenses, unauthorized government documents, US military items, gambling, lottery or raffle tickets, cash, any activity that directly or indirectly violates the law or legal right or damage image of humans or animals or entity.

· You will not make fun of, harm or harass or threaten or stalk any person or entity.

· You will not post, introduce, transmit, transfer, drop, any malicious code, file or program to interrupt, disturb, destroy, damage, corrupt, intrude, intersect or limit the operation and/or functionality of Vhouzz platform.

· You will not post any information that is inaccurate, incorrect, false, wrong, misleading, abusive, offensive, rude, defamatory, sexually oriented, harassing or threatening or illegal.

· You will not infringe Vhouzz platform or any third party, including but not limited to copyrights, trademark, secret, patent, proprietary rights or publicity or privacy rights.

· You will not give, transfer, lease, rent or sell you user account, identification, or password to any other party.

· You will not directly or indirectly involve in activities to disrupt or damage or interfere Vhouzz platform or service.

· You will not produce a platform that mimic Vhouzz platform or redirect online traffic to counterfeit Vhouzz platform.

· You will not change, translate, decrypt, decompile, reverse engineer, disassemble or adapt any part of the Vhouzz platform or any software used on or for Vhouzz platform.

· You will not create or cause liability or subject to regulation for Vhouzz as transportation carrier or provider of delivery service.

· You will not manipulate header or identifiers to disguise the information transmitted through Vhouzz.

· Vhouzz is not a real estate and broker service and does not represent any real estate agent or broker service, it may not represent you in any lawsuits from any party. It will no take responsibility of any lawsuit that occur between homeowners because of any dispute before, during or after house swap.

We reserve the right to suspend or deactivate your user account if you do not comply with these restrictions. You understand that in case you observe any activity listed above happened with your account without your acknowledgment, you will immediately inform Vhouzz, however you will be responsible for all the activities with your account.

Warranties by homeowners

· By providing services to others as a user of Vhouzz platform, you warrant and agree that:

· You will not discriminate or stalk anyone based on race, origin, gender, disability, religion, culture, mental condition, marital status, age, or sexual orientation.

· You possess a valid government or state issued ID and medically fit to provide service and have all approval and authority to provide service.

· You will be solely responsible for any or all liabilities that results of your provision of service include but not limited to personal injuries, death, and property or merchandise damages.

· You will be responsible of your mobile usages or any payment to carrier provider while providing your services.

· In an event of accident during service you will solely be responsible for compliance with any applicable department for report of accident. You or your insurer will be liable for all damages.

· You will pay all applicable federal, state, and local taxes based on your provision of service and any payment received by you from Vhouzz or other user.

· You will post information that is accurate, correct, and complete to best of your knowledge and not misleading, abusive, offensive, rude, defamatory, sexually oriented, harassing or threatening or illegal. You are solely responsible for any damage that happen to deliverer or merchandise because of this information.

· You will not harass or damage related merchandise to make a false case for reimbursement or refund.

· You will respect the other homeowner as a service provider and will not damage, mislead to damage any of his/her components.

· You will be responsible for your mobile usages or any payment to carrier provider while providing your services.

Proprietary Rights and Trademark License

We absolutely owned all intellectual property rights in the Vhouzz platform. These rights include but not limited to copyrights (registered or unregistered), trademarks (registered or unregistered), database, design and any other similar rights whatever exist in the world with the right to apply for protection of the same. All other trademark logo, service marks, product names in the Vhouzz platform are the property of respective owners.

Vhouzz consider your feedback or idea or suggestion or other information a gift however these will not be consider confidential and shall become property of Vhouzz and so we may or may not select to use and communicate this in any manner it choose. Vhouzz is not obligated to pay back money or tangible item or compensate in return.

Vhouzz have no intention to infringe copyright of other and Vhouzz respects the intellectual property of others and expects Vhouzz users to do the same. If you are the owner of copyrights or have legal right to act on behave of owner and you believe, in good faith, that any materials on the Services infringe upon your copyrights, please contact us with legal name, mailing address, email address, telephone number and full detail of copyright infringe.

The following disclaimers are made on behalf of Vhouzz, our affiliates, and each of our respective officers, directors, employees, agents, shareholders, and suppliers.

The Vhouzz Platform is on an “as is” basis and without any warranty or condition. We do not guarantee and do not promise any specific outcomes or benefit from use of the Vhouzz Platform and/or the Services, including the ability to provide or receive Services at any given time or location.

Some states do not allow the disclaimer of indirect warranties, so the prior disclaimer may not apply to you. This warranty gives you specific legal rights and you may also have other legal rights that vary from state to state.

Vhouzz does best to provide excellent service but we do not warrant that Vhouzz Platform will be accurate, up-to-date, secure, safe, complete, uninterrupted, highly available, or free of errors, or will meet all of your requirements, that any defects in the Vhouzz Platform will be corrected, improved or revised, or that the Platform is free of harmful components or electronic viruses. We disclaim liability for, and no warranty is made with respect to, availability and connectivity of the Vhouzz Platform or Services.

We assumed that you get the best quality and safety however we have no control over the quality or safety of the service that occurs because of other user services. We cannot ensure that a user will complete an arranged service. However, we expect best professional services from all users.

We cannot guarantee that each homewoner is who he or she claims to be. Please use common sense when using the Vhouzz Platform and Services. Please note that there are also risks of dealing with persons or people acting under false deception, and we do not accept responsibility or liability for any content, communication or other use or access of the Vhouzz Platform by these persons. We provide rating to each user to best judge his service, but any person can do anything at any time which Vhouzz has no control. We encourage you to communicate directly with each potential homeowner/user prior to engaging in an arranged service. If you have any suspicion or distrust, you may cancel the service by communicate directly to other party.

Vhouzz is not responsible for the conduct, whether online or offline, of any User of the Vhouzz Platform or Services. You are solely responsible for your collaborations and interaction with other Users. By using the Vhouzz platform and contributing in the services, you agree to accept such risks and understand that Vhouzz is not responsible for the acts or blunders or errors of users on the Vhouzz Platform or users participating in the Services.

Vhouzz respect the privacy of all users and highly secure but hacking is common these days and reality so it may possible that hacker obtain your information that you provide, publish or post to or through the Vhouzz Platform, including any profile information you provide, send to other users, or share during the services, and to use such information to harass or harm you. We are not responsible for the use of any personal information that you disclose to other Users on the Vhouzz Platform. Please carefully select the type of information that you post on the Vhouzz Platform or release to others. We disclaim all liability, regardless of the form of action, for the actions or activities or blunders or errors of other users (including unauthorized users, or “hackers”).

Comments, Opinions, advices, statements, offers, or other information or content made available through the Vhouzz Platform or other platform, but not directly by us, are those of their respective authors, and should not certainly be relied upon. Those authors are solely responsible for such content. Under no circumstances we will be responsible for any loss or damage resulting from your belief on such information or other content posted on the Vhouzz Platform. We reserve the right, but we have no obligation, to monitor the materials posted in the public areas of the Vhouzz Platform and removal any such material.

The Vhouzz Platform contains (or user may be sent through the Vhouzz Platform) links to other web sites owned and operated by third parties, as well as articles, photographs, text, graphics, pictures, design, music, sound, video, information, applications, software and other contents or items belonging to or originating from third parties. Such Third-Party Sites and Third-Party Content are not investigated, monitored or checked for accuracy, correctness, or comprehensiveness by Vhouzz, and we are not responsible for any Third-Party Sites or Third Party Content opened through our Platform.

Vhouzz Platform provides location for information purposes by using third party service (google map) and is not intended to be relied upon in situations where exact location is needed. Vhouzz is not responsible for wrong, incorrect, or incomplete location that may result in personal injury or death, whole or part of property or environmental damage or loss. Neither Vhouzz, nor any of its content providers, guarantees the availability, accuracy, completeness, reliability, or timeliness of location displayed by the Vhouzz Platform. Any of your information, including geolocation data, you upload, provide, or post on the Vhouzz Platform may be accessible to Vhouzz, certain authorized employees/contractors of the Vhouzz Platform and involved parties.

Indemnity or insurance

You will defend, protect, indemnify, and hold us and our affiliates and each of our respective officers, directors, employees, agents, and suppliers innocent from any claims, actions, suits, losses, costs, liabilities and expenses including attorneys’ fees relating to or arising out of your use of the Vhouzz Platform and collaboration in the Services, including but not limited to:

· Any claims that any materials that you submit or transmit through the Vhouzz Platform or to us infringe or otherwise violate the copyright, trademark, trade secret or other intellectual property or other rights of any third party.

· Any activities in connection with the Services. This indemnity shall be applicable without regard to the carelessness of any party, including any insured person.

· Your breach or violation of this term and Agreement

LIMITATION OF LIABILITY

VHOUZZ SHALL NOT BE LIABLE FOR DIRECT, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOST DATA, PERSONAL INJURY, OR PROPERTY DAMAGE RELATED TO, IN CONNECTION WITH, OR OTHERWISE RESULTING FROM ANY USE OF OUR PLATFORM, EVEN IF WE HAVE BEEN ADVISED YOU OF THE POSSIBILITY OF SUCH DAMAGES. VHOUZZ SHALL NOT BE LIABLE FOR ANY DAMAGES, LIABILITY OR LOSSES ARISING OUT OF:

1. YOUR USE OF VHOUZZ PLATFORM OR YOUR INABILITY TO USE OR ACCESS THE SERVICES; OR

2. ANY TRANSACTION OR RELATIONSHIP BETWEEN YOU AND ANY THIRD PARTY PROVIDER, EVEN IF VHOUZZ HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

WE SHALL NOT BE LIABLE FOR DELAY, SUSPENSION OR FAILURE IN PERFORMANCE RESULTING FROM CAUSES IN OR BEYOND OUR CONTROL. YOU ACKNOWLEDGE THAT THIRD PARTY PROVIDERS PROVIDING SERVICES REQUESTED THROUGH SOME REQUEST BRANDS MAY NOT BE PROFESSIONALLY LICENSED OR PERMITTED. IN NO EVENT SHALL VHOUZZ LIABILE IN CONNECTION WITH THEIR SERVICES FOR ANY DAMAGES, LOSSES AND CAUSES OF ACTIONS.

IN NO EVENT WILL WE, OR OUR RESPECTIVE OFFICERS, DIRECTORS, OR EMPLOYEES BE LIABLE TO YOU FOR ANY INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR INDIRECT DAMAGES INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR DELETION, CORRUPTION, LOSS OF DATA, LOSS OF PROGRAMS, FAILURE TO STORE ANY INFORMATION OR OTHER CONTENT MAINTAINED OR TRANSMITTED BY THE VHOUZZ PLATFORM, SERVICE INTERRUPTIONS, OR FOR THE COST OF PROCUREMENT OF SUBSTITUTE SERVICES ARISING OUT OF OR IN CONNECTION WITH THE VHOUZZ PLATFORM, THE SERVICES, OR THIS AGREEMENT. WE WILL NOT BE LIABLE FOR ANY DAMAGES, DIRECT, INDIRECT, SPECIAL, PUNITIVE, INCIDENTAL AND/OR CONSEQUENTIAL INCLUDING, BUT NOT LIMITED TO PHYSICAL DAMAGES, BODILY INJURY, DEATH AND/OR EMOTIONAL DISTRESS AND DISCOMFORT ARISING OUT OF YOUR INTERACTION WITH OR MEETING OTHER USERS OF THE VHOUZZ PLATFORM, EVEN IF WE KNOW OR HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES OR LOSSES. CERTAIN JURISDICTIONS MAY NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE DISCLAIMERS, EXCLUSIONS OR LIMITATIONS MAY NOT APPLY TO YOU, AND YOU MAY HAVE ADDITIONAL RIGHTS.

Release

In the event of dispute with one or more Vhouzz users or non-users, you agree to release Vhouzz (including our affiliates respective officers, directors, and employees) from claims, demands and damages of all kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, come out of or in any way connection with such disputes with other Users or to your use of the Vhouzz Platform. Furthermore, you particularly waive any rights you may have under California Civil Code Section 1542 or analogous laws of other states, which states: “A general release does not extend to claims which the creditor does not know or suspect to exist in his favor at the time of executing the release, which, if known by him must have materially affected his settlement with the debtor.” We reserve the right, but have no obligation, to monitor or observe such disputes.

Termination

This Agreement is in effect when you start using vhouzz. You may discontinue your use of the Vhouzz Platform or participation in the Services at any time, for any reason or no reason. We may suspend or deactivate or terminate your User account, or revoke your permission to access our Platform, at any time, for any reason or no reason, upon notice to you. We reserve the right to refuse access of the Vhouzz Platform to any User for any reason or no reason. Either party may terminate the Agreement for any reason upon written notice to the other party. Sections “change or modification, communication, restrictions, warranties, rights and trademarks, copyrights, disclaimer, Indemnity, limitation of liability, release, termination, dispute, legal claims, confidentiality, notice, complaints, no agency and general” shall survive any termination or expiration of this Agreement.

Agreement to Arbitrate All Disputes and Legal Claims

You acknowledge and agree that you are waiving the right to a trial by jury or to participate as a plaintiff or class member in any purported class action or representative proceeding.

You agree that any legal disputes or claims rise or related to the Agreement that cannot be resolved informally may be submitted to binding arbitration in the state in which the Agreement was performed. The arbitration shall be conducted by the American Arbitration Association under its Commercial Arbitration Rules, or as otherwise mutually agreed by you and Vhouzz.

Confidentiality

You agree not to use any confidential information relating to Vhouzz business, operations, financial, strategic and properties, including User information disclosed to you by Vhouzz for your own personal use or for any purpose other than as anticipated here. You shall not disclose any confidential Information to third parties. You agree to take all reasonable measures to protect the privacy of and avoid disclosure or use of Confidential Information of Vhouzz and other user to prevent it from falling into the public domain.

This Agreement shall be governed by the laws of the State of Pennsylvania without regard to choice of law principles. Headings are for reference purposes only and in no way define, limit, construe or describe the scope of such section. You may not assign this agreement to other user or entity without prior notice to and written approval by Vhouzz. Vhouzz may assign agreement without your consent to a subsidiary or affiliate, an acquirer of Vhouzz equity, business or assets or a successor by merger. If any provision of these agreement is believed to be unacceptable or unenforceable, such provision shall be struck and the remaining provisions shall fully be imposed under law. Vhouzz could not enforce any right or provision in this agreement shall not establish a waiver of such right or provision unless acknowledged and agreed to by Vhouzz in writing.
